Beskrivning
The collapse of Enron, AIG, WorldCom, and Credit Suisse didn’t happen in isolation. Behind each failure lay boards that failed to fulfil their fundamental duty to shareholders, employees, customers, and the wider economy. In an era where corporate decisions ripple through global markets, the stakes for effective board governance have never been higher. Drawing on decades of experience at the helm of major corporations and boards through transformational challenges,Patrick O’Sullivan confronts the uncomfortable realities of modern governance. How does a board chair navigate the treacherous waters of working with a domineering CEO? How can new directors break through the inertia of long-established, complacent boards? With exceptional clarity and hard-won insight, O’Sullivan provides a roadmap for boards determined to transcend mediocrity. This isn’t theoretical governance—it’s a practical guide forged in the crucible of real corporate crises. From building genuine transparency to engaging executive management effectively, from fostering board objectivity to defining the essential characteristics of successful board chairs,O’Sullivan delivers the tools that boards need to protect value and drive sustainable performance. For directors, executives, and stakeholders who understand that governance isn’t just about compliance—it’s about corporate survival—this book offers an indispensable framework for excellence in the boardroom.

Recensioner i media

'Patrick O’Sullivan is particularly well placed as an observer of what really makes boards succeed or fail. He has observed boards as an adviser, as an executive, as an investor and as a board member and chairman. This multi-dimensional perspective gives a richness to his diagnosis. But importantly the book is more than a catalogue of board failures. Patrick O’Sullivan draws on his experiences to set out his vision of the key underpinnings of a successful board, including the leadership role of the Chair. The book is rich with examples, drawn together into a compelling overall narrative about what’s gone wrong with boards and how to set them on the right path for the future. The book should be essential reading for aspiring chairs of companies and the regulators that oversee them. But it should also provide valuable real-world insights for the academics whose life work is studying what makes companies successful, helping to identify new areas and questions for research'.Tom Gosling, PhD, Professor in Practice, the Financial Markets Group at the London School of Economics'Excellent, well informed articulation of a subject which is difficult to grasp and equally difficult to explain'.Bruce Hemphill, Chairman Hargreaves Lansdowne Plc, Former CEO Old Mutual Plc'Strong on Governance and the importance of a good experienced Board'.Paul Manduca, Former Chairman Prudential Plc, Chairman St. James’s Place Plc'It is very interesting and useful especially at the start of my non-executive career'.James Quin, Former CFO Saga Plc, SID and chair of audit committee Ondo Insure Tec Plc'Well written and packed with plenty of excellent points'.Matthew McCreight, Senior partner, Schaffer Consulting'I admire the effort to write this book'.Rudi Bogni, Former CEO UBS Private Banking'This book is up to date, succinct, and relevant. The context relating to reasons for failure set the scene to help the reader to understand the complexities of modern boardrooms. The blend of EQ, soft and technical skills required for effective governance are clearly set out. The relationship with the CEO is explored along with the dangers of an overly controlling CEO failing to recognise the true value a well-functioning Board can bring. As a Chairman and Board Evaluator of many years standing I found myself agreeing with all the points made by the author. I recommend this book to all who wish to stay current at this level'.Helen Pitcher, OBE, Chairman Advanced Boardroom Excellence
