Examined Using the Example of Issuer Liability under Capital Market Law in Accordance with Sections 97, 98 WpHG (German Securities Trading Act)«The study deals with the question of when a legal entity possesses knowledge in the juristic sense. Building on general considerations of imputation under German civil law, the imputation of knowledge (Wissenszurechnung) to legal entities is discussed with using the example of liability for omitted or incorrect capital market information under Sections 97, 98 WpHG (German Securities Trading Act).
