A Problem to Recapitulate the Statutory Asset Protection of Stock Companies«Whether upstream securities are admissible under German Corporate Law has so far only been discussed from the perspective of capital maintenance. However, capital maintenance alone does not offer an adequate solution to protect the company providing a security to its major shareholder from being exploited to the disadvantage of minor shareholders and credi-tors. This thesis examines the extended asset protection granted by the law of related com-panies and its impact on upstream securities.
